These Terms of Service are between you and Gideon Defender, Inc. ("Gideon Defender", "Gideon", "we", or "us") and govern your access to and use of the Gideon website, including general informational content, resource library materials, and public-facing pages. If you have a paid or trial subscription to Gideon Identity, Gideon Endpoint, or Gideon Access, your use of those products is governed by a separate Customer Agreement, which controls in the event of any conflict with these Terms.

Acceptance of terms
By accessing or using the Site, you represent and warrant that:
You are at least 18 years of age (or the age of legal majority in your jurisdiction). The Site is not directed at, and we do not knowingly collect personal information from, children under the age of 13.
You have the legal capacity and authority to enter into a binding agreement with us.
If you are using the Site on behalf of a company, organization, or other legal entity, you have the authority to bind that entity to these Terms, in which case "you" and "your" refer to that entity.
Changes to terms
We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. Any changes are effective immediately upon posting the revised Terms to the Site, with an updated "Last updated" date. Your continued use of the Site following the posting of revised Terms means you accept and agree to the changes. We encourage you to check this page periodically.
Account registration and security
To access certain features of the Site, such as client dashboards or support portals, you may need to register for an account. When creating an account, you agree to:
Provide accurate, current, and complete information.
Maintain and promptly update your account information to keep it accurate, current, and complete.
Maintain the strict confidentiality of your password and login credentials.
Accept full responsibility for all activities that occur under your account.
Notify us immediately at legal@gideondefender.com if you suspect any unauthorized use of your account or any security breach.
All content, features, and functionality available on the Site, including text, graphics, logos, icons, images, audio, video, software, code, algorithms, and data compilations (collectively, the "Gideon Defender IP"), are the exclusive property of Gideon Defender or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
Subject to your compliance with these Terms, Gideon Defender grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your internal business or personal use. You agree not to:
Reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any portion of the Gideon Defender IP without our explicit prior written consent.
Reverse engineer, decompile, disassemble, or attempt to extract the source code of our software or platform.
Remove any copyright, trademark, or other proprietary notices from any materials on the Site.
Customer data ownership
Nothing in these Terms transfers ownership of any data, content, or materials you or your organization input into our software products ("Customer Data"). As between you and Gideon Defender, you retain all right, title, and interest in your Customer Data, subject to the license terms in your Customer Agreement.
Prohibited conduct
When using our Site, you agree not to:
Violate any applicable local, state, national, or international law or regulation.
Infringe upon or violate the intellectual property rights, privacy rights, or other legal rights of Gideon Defender or any third party.
Transmit any malicious code, viruses, trojan horses, worms, or other harmful software designed to disrupt, damage, or limit the functionality of any computer software, hardware, or telecommunications equipment.
Attempt to gain unauthorized access to, interfere with, or disrupt the integrity or performance of our servers, networks, or databases.
Use any automated system, robot, spider, or scraper to access the Site or extract data for unauthorized purposes.
Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
Privacy policy
Your use of the Site is also governed by our Privacy Policy, which outlines how we collect, use, and protect your personal information. By using the Site, you consent to our collection and use of data as outlined there. Customers using our software products are additionally subject to the Data Processing Agreement incorporated into their Customer Agreement, which governs our processing of personal data on their behalf.
You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties, including the U.S. Treasury Department's Specially Designated Nationals list or the U.S. Commerce Department's Denied Persons or Entity List. You agree to comply with all applicable U.S. and foreign export control and sanctions laws and regulations in connection with your access to and use of the Site and any related software.
Disclaimers and limitation of liability
Disclaimer of warranties: the Site is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied. To the fullest extent permitted by law, Gideon Defender disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Gideon Defender does not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components.
Limitation of liability: to the maximum extent permitted by applicable law, Gideon Defender, its directors, officers, employees, agents, partners, and suppliers are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, arising from your access to or use of the Site, any conduct or content of a third party on the Site, or unauthorized access to or alteration of your transmissions or content.
Gideon Defender's total cumulative liability arising out of or related to your use of the Site, whether in contract, tort, or otherwise, will not exceed the greater of one hundred U.S. dollars ($100) or the total amount, if any, paid by you to Gideon Defender in the twelve months preceding the event giving rise to the claim. This limitation applies to use of the Site only; liability arising from use of our software products is governed separately by your Customer Agreement.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
Indemnification
You agree to indemnify, defend, and hold harmless Gideon Defender and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, expenses, or fees, including reasonable attorneys' fees, arising out of or relating to your violation of these Terms, your use or misuse of the Site, or your violation of any rights of a third party.
Dispute resolution and arbitration
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.
Binding arbitration: except as set forth below, you and Gideon Defender agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site (a "Dispute") will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, rather than in court, except that either party may bring an individual action in small claims court. Arbitration will be conducted in Miami-Dade County, Florida, or another mutually agreed location, and judgment on the arbitration award may be entered in any court having jurisdiction.
Class action waiver: you and Gideon Defender agree that any Dispute will be resolved solely on an individual basis, and that neither party may bring a claim as a plaintiff or class member in a class, consolidated, or representative action. If this waiver is found unenforceable as to a particular Dispute, that Dispute will be resolved in court under the governing law and venue provision below rather than in arbitration.
Opt-out: you may opt out of this arbitration agreement by sending written notice to legal@gideondefender.com within thirty days of first agreeing to these Terms. Your notice must include your name and a clear statement that you wish to opt out of arbitration.
Governing law and venue: these Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any Dispute not subject to arbitration will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction and venue of those courts.
Termination
We reserve the right to suspend or terminate your account and access to the Site at our sole discretion, without notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Site immediately ceases. The intellectual property, disclaimers and limitation of liability, indemnification, dispute resolution, and general provisions sections of these Terms survive any termination.
General provisions
These Terms, together with our Privacy Policy and, where applicable, your Customer Agreement, constitute the entire agreement between you and Gideon Defender regarding the Site and supersede all prior agreements and understandings, whether written or oral.
Severability: if any provision of these Terms is found unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
No waiver: our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
Assignment: you may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.
Force majeure: Gideon Defender is not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet or utility failures, or governmental action.
